Drafted with AI assistance. This is a starting point, not a substitute for review by a qualified lawyer in your jurisdiction before relying on it commercially.
These Terms of Service ("Terms") govern your access to and use of Are We Up? (the "Service"), an uptime-monitoring product that checks URLs and hosts on a schedule, sends alerts, and publishes status pages. "We," "us," and "our" refer to the operator of the Service; "you" refers to the person or organization with an account. By creating an account or otherwise using the Service, you agree to these Terms.
Are We Up? periodically checks the URLs, ports, hosts, and endpoints you configure ("Monitors"), records the results, and sends alerts through the channels you set up (email, Telegram, Slack, Discord, webhooks, and others depending on your plan). You can also publish a public status page summarizing the status of your Monitors, with an embeddable badge.
Checks run on a best-effort basis at the interval your plan allows. Are We Up? is a monitoring and alerting tool — it does not make the sites, servers, or services you monitor more available, and it cannot guarantee that every check, alert, or status page update will be timely or delivered. See Section 5 for the availability disclaimer.
You need an account to use the Service. You agree to provide an accurate email address, keep your password secure, and notify us if you believe your account has been compromised. You're responsible for all activity that happens under your account, including anything done by people you invite to a team account. You must be legally able to enter into a contract to use the Service.
Free plan. The Free plan is available at no cost, subject to the limits published on our pricing page (currently 10 monitors, 5-minute checks, 90 days of check-result retention, and other limits described there).
Paid plans. Pro ($7/month or $60/year) and Business ($22/month or $192/year) are paid subscriptions billed in advance through Stripe, on a monthly or annual cycle depending on what you choose at checkout. Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until you cancel.
How to cancel. You can cancel your subscription at any time from the Stripe Customer Portal, accessible from your account's billing settings. Cancelling stops future renewals — you keep access to your paid plan's features through the end of the period you already paid for, after which your account moves to the Free plan. Resources that exceed Free-plan limits (extra monitors, extra status pages, pro-only monitor types, etc.) are paused, not deleted, so you don't lose configuration if you resubscribe later.
Failed payments. If a renewal payment fails, we'll email you and our payment processor will automatically retry the charge over a period of days. Please update your payment method promptly to keep your plan. If the payment still can't be collected after those retries, your account is moved to the Free plan and over-limit resources are paused as described above.
Refunds. All payments are non-refundable, including for partial billing periods — if you cancel partway through a month or year, you keep access until the period you already paid for ends, but we don't refund the unused portion. You can cancel at any time to stop future billing.
Price changes. If we change subscription prices, we'll give existing subscribers reasonable advance notice by email before the new price applies at your next renewal.
You may only create Monitors for URLs, hosts, and endpoints that you own or are otherwise authorized to monitor. You agree not to use the Service to:
— monitor, probe, or scan systems you don't have permission to access;
— use the checking infrastructure to send excessive, unauthorized, or repeated traffic at a target for the purpose of degrading or disrupting it (i.e., no using Are We Up? as a denial-of-service tool);
— circumvent another service's rate limits, terms of service, or access controls;
— transmit unlawful, abusive, deceptive, or harmful content through alert channels or status pages;
— attempt to interfere with, overload, or reverse-engineer the Service itself; or
— resell or white-label the Service without our prior written agreement.
We may throttle, suspend, or terminate accounts that violate this section or place abusive load on our infrastructure. Where practical, we'll warn you first, but for serious or ongoing abuse we may act immediately to protect the Service and other users.
Are We Up? is an uptime monitor, not an uptime guarantee — for either the Service or the sites you monitor. Monitoring results, alerts, and status pages are provided on a best-effort basis and may be delayed, incomplete, or occasionally wrong due to network conditions, third-party outages (including the alert channels and infrastructure we depend on), or other factors outside our control. We do not warrant that checks will run at exact intervals, that alerts will always be delivered, or that any monitored site's actual availability matches what our checks report. You remain solely responsible for the availability, security, and operation of your own systems.
We aim to keep the Service itself reliable but do not promise uninterrupted or error-free operation.
You retain ownership of your Monitor configurations, check history, and anything else you submit to the Service. You can export or delete your data, and delete your account entirely, at any time from account settings. Deleting your account removes your monitors, check results, alert channel configuration, and status pages from our systems (see our Privacy Policy for details on retention and deletion).
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, misuse the Service in a way that harms us or other users, or if payment remains unresolved after the retry period described in Section 3. Where reasonably possible, we'll notify you before or at the time of termination.
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We are not liable for indirect, incidental, special, or consequential damages — including lost revenue, lost profits, or losses caused by downtime of systems you monitor, missed alerts, delayed alerts, or false positives/negatives. To the extent liability cannot be excluded, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
We may update these Terms from time to time as the Service evolves. For material changes, we'll make a reasonable effort to notify you by email before they take effect. Continuing to use the Service after an update takes effect means you accept the revised Terms.
The Service is offered worldwide, but it is operated from Denver, Colorado, USA. These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and any dispute not otherwise subject to mandatory local consumer-protection law will be resolved in the state or federal courts located in Colorado.
